Please read these Terms and Conditions carefully before using any services offered by Joyful, Calm, and Well, LLC. By booking a session, enrolling in a program, or engaging with any service, you agree to be bound by these terms.
1. About Joyful, Calm, and Well, LLC
Joyful, Calm, and Well, LLC is a Georgia limited liability company and licensed integrative health practice. Services are delivered by a credentialed practitioner holding licensure as an Occupational Therapist (OTR/L) in Georgia, North Carolina, and South Carolina; Licensed Nutritionist (LN) in North Carolina; Certified Nutrition Specialist (CNS); Somatic Experiencing Practitioner (SEP); and Board Certified Structural Integration Practitioner (BCSI).
The practice operates across Georgia, North Carolina, and South Carolina, as well as virtually. Services offered include individual Somatic Experiencing (SE) sessions, Emergent Sessions (multi-modal integrative sessions), Medical Nutrition Therapy (MNT) and nutrition consulting, clarity coaching, group programs (including The Responsive Body and Queen of Cups), corporate wellness consulting, speaking engagements, and retreats.
2. Acceptance of Terms
By booking, enrolling, paying for, or accessing any service provided by Joyful, Calm, and Well, LLC — whether through Podia, TidyCal, Zoom, email, or any other platform — you acknowledge that you have read, understood, and agree to these Terms and Conditions in their entirety. If you are entering into these terms on behalf of a company or organization, you represent that you have authority to bind that entity.
3. Services Offered
3.1 Individual Services
Somatic Experiencing (SE) sessions
Emergent Sessions (multi-modal integrative sessions)
Medical Nutrition Therapy (MNT) where allowed by state law, nutrition education or consulting where allowed by state law
Clarity coaching
3.2 Group Programs
The Responsive Body — somatic and nervous system education group container
Queen of Cups — group container for practitioners and other service providers
Additional group offerings as announced
3.3 Corporate & Organizational Services
Corporate wellness consulting and training
Speaking engagements and keynotes
Workplace retreats and facilitated experiences
4. Payment Terms
4.1 Individual Clients
All 1:1 sessions and nutrition packages require full payment at the time of booking via TidyCal or Podia, processed through Stripe. Your appointment or access is confirmed only upon receipt of payment.
4.2 Group Programs
Group programs may be paid in full at enrollment or through a two-part installment plan when available. Installment schedules must be arranged on an individual basis. Failure to complete installment payments may result in suspension of program access until the outstanding balance is resolved.
4.3 Corporate Clients
Corporate engagements require a signed Service Agreement prior to commencement of any services. Payment is structured as follows:
50% non-refundable deposit due upon signing of the Service Agreement
Remaining 50% due within 15 days of service completion (Net-15)
Invoices are issued via the business's invoicing system or bank transfer as agreed. All corporate fees are stated in USD.
4.4 Late Payments
Invoices not paid by the due date will accrue a late fee of 1.5% per month on the outstanding balance, compounded monthly. Access to deliverables, recordings, follow-up materials, and future services will be suspended until the account is paid in full. Final deliverables — including reports, recordings, and proprietary materials — will not be released until all outstanding balances are cleared. Joyful, Calm, and Well, LLC reserves the right to pursue collection of overdue amounts through all lawful means.
All corporate clients must sign a separate Service Agreement before any work begins. These Terms & Conditions supplement, and do not replace, that agreement.
5. Cancellation & Refund Policy
5.1 Full Refund Window
A full refund will be issued for any purchase canceled within 48 hours of the original transaction, provided the session or program has not yet taken place or been accessed.
5.2 Rescheduling
Clients may reschedule a 1:1 session with a minimum of 24 hours advance notice. Reschedule requests made with less than 24 hours notice will be treated as a late cancellation (see below). Rescheduling is subject to availability and must be completed within 60 days of the original session date.
5.3 Late Cancellations
Cancellations made with less than 24 hours notice, or failure to appear at a scheduled session without prior notice (no-show), will result in forfeiture of the session fee. No refund or credit will be issued.
5.4 After Session Commencement
No refund will be issued once a session, program module, or group container has commenced or been accessed.
5.5 Group Programs
Group program enrollments are non-refundable after the 48-hour purchase window. If extenuating circumstances arise, refund requests may be submitted in writing to the email address listed in Section 13 and will be reviewed on a case-by-case basis. Joyful, Calm, and Well, LLC reserves sole discretion in granting exceptions.
5.6 Corporate Engagements
The 50% deposit is non-refundable once a Service Agreement has been signed. If a corporate client cancels after signing and before delivery, the deposit is retained in full. If cancellation occurs after partial delivery, fees will be prorated at the practitioner's sole discretion.
Refund requests must be submitted in writing via email. Refunds, where applicable, are processed within 15 business days to the original payment method.
6. Intellectual Property & Content Ownership
All content provided by Joyful, Calm, and Well, LLC — including but not limited to session materials, handouts, worksheets, course recordings, group program content, frameworks, written guides, and presentation materials — is the sole intellectual property of Joyful, Calm, and Well, LLC and is protected under applicable United States copyright law.
6.1 Permitted Use
Clients are granted a limited, non-transferable, non-exclusive license to use materials for their own personal development purposes only.
6.2 Prohibited Use
Sharing, distributing, reproducing, or republishing any content without prior written consent
Using materials for commercial purposes, including resale or incorporation into other products or programs
Recording sessions (video or audio) without explicit written permission
Claiming authorship or ownership of any delivered materials
Violation of these terms may result in immediate termination of services and legal action to protect intellectual property rights.
7. Scope of Services, Jurisdiction & Professional Disclaimer
Services provided by Joyful, Calm, and Well, LLC are integrative in nature and are intended to support health, nervous system regulation, somatic awareness, and nutritional wellbeing within the scope of the practitioner's licenses and credentials and applicable law.
7.1 Occupational Therapy
OT services are provided under active licensure in Georgia, North Carolina, and South Carolina, as applicable to the client's location and service context.
7.2 Nutrition Services by State
North Carolina: Nutrition services, including Medical Nutrition Therapy (MNT), are provided under active NC Licensed Nutritionist (LN) licensure in full compliance with North Carolina state law.
Georgia: Nutrition consulting services in Georgia are provided in accordance with applicable Georgia law and any available exemption provisions. Georgia does not currently have a licensure process for nutritionists; however, pending legislation (HB 185) may establish one. Clients are advised that this regulatory landscape is subject to change. Nothing in these terms constitutes a legal representation regarding exemption status.
South Carolina: Nutrition consulting services in South Carolina are provided in accordance with applicable SC law. The practitioner is not a registered dietitian and does NOT hold herself out as a registered dietitian in South Carolina.
7.3 General Disclaimer
These services do not constitute and are not a substitute for:
Medical diagnosis, treatment, or prescription by a licensed physician
Psychotherapy or mental health treatment by a licensed mental health professional
Legal advice from a licensed attorney
Financial advice from a licensed financial advisor
Clients are encouraged to maintain relationships with their primary care providers and relevant specialists. If you are experiencing a mental health crisis or medical emergency, please contact emergency services or a licensed crisis provider immediately.
Nothing in these services creates a practitioner-patient relationship in the clinical medical sense. State-specific professional licensing requirements in NC, SC, and GA remain in full effect regardless of these Terms.
8. Client Responsibilities & Community Standards
8.1 Individual Clients
Clients agree to:
Arrive on time for scheduled sessions
Engage honestly and in good faith
Respect their own pace and communicate boundaries to the practitioner
Disclose relevant medical or mental health history to support safe practice
8.2 Group Program Participants
Participants in any group program or community container agree to:
Treat all participants with dignity, respect, and confidentiality
Refrain from sharing other participants' personal disclosures outside the group
Engage in good faith and with the intention of personal growth
Avoid disruptive, harmful, or discriminatory behavior toward other participants or facilitation staff
8.3 Corporate Clients
Organizations engaging Joyful, Calm, and Well, LLC agree to:
Provide accurate information about scope, participant needs, and logistics in advance
Ensure a safe and appropriate environment for workshop or retreat delivery
Honor the Service Agreement terms including payment timelines
9. Rule Violations & Termination
Joyful, Calm, and Well, LLC reserves the right to terminate or suspend access to any service, without refund, if a client or participant:
Engages in abusive, threatening, or harassing behavior toward the practitioner or other participants
Violates content ownership or intellectual property terms
Misrepresents their identity, credentials, or purpose of engagement
Fails to make required payments
Engages in conduct inconsistent with the community standards outlined in Section 8
Where appropriate, rule violations may be referred to relevant professional bodies or legal authorities.
10. Dispute Resolution & Governing Law
If you have a concern about a service, please contact Joyful, Calm, and Well, LLC in writing first. We are committed to addressing concerns with care and transparency.
In the event of a formal dispute that cannot be resolved informally:
Both parties agree to attempt resolution through good-faith written communication within 30 days
If unresolved, disputes will be submitted to mediation in Clarke County, Georgia before any litigation proceeds
These Terms are governed by the laws of the State of Georgia, without regard to its conflict of law provisions
Nothing in this governing law clause limits the application of state-specific professional licensing requirements applicable in North Carolina, South Carolina, or Georgia. Obligations arising under those licensing frameworks remain in full effect regardless of the governing law of these Terms.
11. Limitation of Liability
To the fullest extent permitted by law, Joyful, Calm, and Well, LLC shall not be liable for:
Technical issues, internet outages, or interruptions on third-party platforms including Podia, TidyCal, or Zoom
Loss of data, files, or recordings due to platform failure, technical error, or facilitator negligence
Outcomes, results, or changes in health, wellbeing, or professional performance that may or may not arise from services
Actions, omissions, or failures of third-party service providers
In no event shall Joyful, Calm, and Well, LLC's total liability to any client exceed the total amount paid by that client for the specific service giving rise to the claim.
12. Professional Standards
Joyful, Calm, and Well, LLC operates in accordance with:
The ethical standards of Somatic Experiencing International (SEI)
The American Nutrition Association (ANA) standards for Certified Nutrition Specialists
North Carolina state licensing requirements for Licensed Nutritionists (NC LN)
Occupational therapy licensure standards in Georgia, North Carolina, and South Carolina
Applicable nutrition practice law in Georgia and South Carolina
Principles of trauma-informed, equity-centered, and person-centered care
Services are provided with respect for the autonomy, dignity, and lived experience of every client.

The content on this website and the services offered through Joyful, Calm, and Well, LLC are for informational and educational purposes only. Nothing on this site constitutes medical advice, diagnosis, or treatment, and nothing here establishes a provider-client relationship until one is formally initiated.
Services provided — including Somatic Experiencing®, nutrition consulting, Clarity Support, and Emergent Sessions — are integrative and wellness-focused in nature. They are not a substitute for care from a licensed physician, psychiatrist, psychologist, or other licensed mental health provider. If you are experiencing a medical or psychiatric emergency, contact 911 or go to your nearest emergency room.
Nutrition services vary by state. See Section 7.2 for jurisdiction-specific detail. Nothing in these materials constitutes a medical nutrition therapy recommendation outside of the jurisdictions in which Allison Durazo holds active licensure or where state law does not permit such services.
Somatic Experiencing® is not psychotherapy. SE sessions are a complement to, not a replacement for, mental health treatment.
15. Modifications to These Terms
Joyful, Calm, and Well, LLC reserves the right to update these Terms and Conditions at any time. Material changes will be posted on the website with an updated effective date. Continued use of services after that date constitutes acceptance of the revised terms.
